The guidance about contract settlements at EM6000+ only relates to direct tax. You must never include VAT or VAT penalties in a contract settlement.

You can proceed against any partner for

  • any liability as an employer, and

  • for pre-ITSA years recovery of tax NIC and interest on partnership assessments.
